activity to the Autoridade Tribut\u00e1ria.<\/p><\/li><\/ul><h2><b>Mistake No. 1: Confusing administrative simplicity with tax simplicity<\/b><\/h2><p class=\"p1\">The creation procedure can be relatively quick (e.g. \u201cEmpresa na Hora\u201d service).<\/p><p class=\"p1\">However, this administrative ease does not mean :<\/p><ul><li><p class=\"p1\">no tax complexity,<\/p><\/li><li><p class=\"p1\">tax residency neutrality,<\/p><\/li><li><p class=\"p1\">absence of strict accounting obligations.<\/p><\/li><\/ul><p class=\"p1\">An LDA is a company subject to IRC, VAT (if applicable) and regular reporting obligations.<\/p><p class=\"p1\">Underestimating these obligations is a common mistake.<\/p><h2><b>Error no. 2: Poorly drafted or inconsistent corporate purpose<\/b><\/h2><p class=\"p1\">The corporate purpose must reflect the company's actual activity. <a href=\"https:\/\/justica.gov.pt\/Servicos\/Criar-empresa\" target=\"_blank\" rel=\"noopener\">company<\/a>.<\/p><p class=\"p1\">An object that is too vague or inappropriate can :<\/p><ul><li><p class=\"p1\">complicate certain administrative procedures,<\/p><\/li><li><p class=\"p1\">banking difficulties,<\/p><\/li><li><p class=\"p1\">create an inconsistency between the activity declared and the activity performed.<\/p><\/li><\/ul><p class=\"p1\">The corporate purpose is a structuring legal element, not a secondary formality.<\/p><h2><b>Mistake no. 3: Neglecting the question of tax residence<\/b><\/h2><p class=\"p1\">A frequent confusion concerns the distinction between :<\/p><ul><li><p class=\"p1\">the executive's personal tax residence,<\/p><\/li><li><p class=\"p1\">tax residence of the company.<\/p><\/li><\/ul><p class=\"p1\">The LDA is, in principle, resident for tax purposes in Portugal if its registered office or effective management is located there.<\/p><p class=\"p1\">However, if the actual management is carried out from another country, there is a risk of <a href=\"https:\/\/wizecounsel.org\/en\/lda-in-portugal-requalification-risk-france\/\"><span class=\"s2\"><b>reclassification or permanent establishment<\/b><\/span><\/a> may appear.<\/p><p class=\"p1\">This analysis goes beyond simple registration.<\/p><h2><b>Mistake No. 4: Underestimating reporting obligations<\/b><\/h2><p class=\"p1\">An LDA includes :<\/p><ul><li><p class=\"p1\">periodic VAT returns,<\/p><\/li><li><p class=\"p1\">annual declaration of\u2019<a href=\"https:\/\/info.portaldasfinancas.gov.pt\" target=\"_blank\" rel=\"noopener\">IRC<\/a> (Modelo
